Course Outline: |
Mainland China’s investment law system has seen significant changes in recent times which seem to open up new opportunities for foreign investors, but also imply risks which need to be considered carefully.
This seminar introduces the basics of mainland China’s (inbound) investment law and discusses the latest developments from the viewpoint of foreign investors and their advisors. It also analyses the potential impact which the enactment of a new ‘PRC Foreign Investment Law’ (published in draft version in January 2015) might have. |
Specific topics addressed during the seminar are: |
- The historical development of mainland China’s investment law and practical consequences
- Structuring foreign investment projects in mainland China
- Investment vehicles
- Greenfield investments vs M&A
- SPV structures
- Governing law
- Approval and registration requirements
- Investing in regulated industries
- Merger control law
- State security review
- Practical problems and dispute resolution
- The draft ‘PRC Foreign Investment Law’
